Scope and local applicability

A genuine private sale is generally outside the Consumer Guarantees Act and Fair Trading Act, but title, description, misrepresentation and Contract and Commercial Law Act issues can still matter. This guide concerns an ordinary lawful transaction between genuinely private parties. A person acting as a dealer, trader or business can face different mandatory duties even if a listing calls the sale private.

Identify the parties, item and source of every fact

Compare names and contact details with appropriate independent evidence. Match every registration mark, VIN, frame, chassis, hull, engine, serial, edition or certificate number to the physical item and the documents actually presented. Record whether a point was observed, stated by one party or supported by a record; do not convert an unknown answer into a promise merely to finish the questionnaire.

Check that the seller has authority to sell and resolve any difference between the seller, registered person, apparent owner, lender, estate, company or registry record before payment or possession changes hands. Add photographs of useful identifiers and visible condition with permission, while avoiding unnecessary identity documents, unrelated people and sensitive material.

Condition, inspection and finance are separate evidence layers

Review Warrant of Fitness (WoF) and independent inspection evidence. An official certificate normally records a test at a point in time and is not a warranty that the item is safe or fault-free at handover. A professional inspection and the parties’ own observations also have different scope, so retain each result separately and disclose known defects accurately.

Check finance or third-party rights through the Personal Property Securities Register (PPSR). A clean search is useful evidence at its search time, not a universal ownership guarantee. Record the search reference, date and identifiers used, resolve an adverse result with the secured party, and do not rely solely on a seller statement or screenshot.

Price, cleared payment and physical handover

Write the exact amount and currency, payment method, recipient account, timing, deposit treatment, included items and any conditions that must be satisfied before handover. Verify cleared funds in the recipient’s own account rather than relying on a transfer screenshot, pending notification or message. At handover, compare the final item and identifiers with the reviewed agreement. Count keys, remotes, chargers, manuals, safety equipment, accessories and original records; photograph the final condition when useful; record the date, time, location and odometer or usage reading; and give both parties the same durable PDF. Electronic agreement and official process

An electronic signature can generally provide evidence of identity, approval and intent for an ordinary private agreement when the applicable reliability, consent and transaction requirements are satisfied. Evidence quality still depends on the full record. A personal email link, deliberate signing action, timestamp, document fingerprint and identical final PDF help, but they are not a government identity credential, witness, notarisation or proof of ownership.

Both parties must notify NZTA of the change of registered person. The registered person is not necessarily the legal owner, and the agreement does not complete the notification, supply a WoF or clear a security interest. A prescribed government form, witness, original signature, inspection certificate, registry instrument or other special process keeps its own rules. Before completion, each party should read every answer, correct mistakes and confirm the description, known defects, included items, price, payment, ownership evidence, finance position and handover. If the transaction crosses an internal border, apply the relevant record, destination and physical-handover requirements together and follow the stricter unresolved step until the responsible authority confirms otherwise.

Retain the final PDF, official transfer receipt, payment evidence, searches, inspection records, important messages and photographs for as long as they can reasonably matter. If fraud or misdescription is suspected, preserve evidence promptly and contact the bank, platform, insurer, registry, police or civil dispute channel that actually has power to assist.
